Along with the dramatic development of technology, the forms of economy become even diversity. Physical capital is no longer the core driving force of economy and development of enterprise, instead of it, the economic value of human is more and more important. However,while the human capital acquires the appropriate status and respect, its forms of earnings are relatively simple. The function of human capital needs further and effective development. The same with physical capital, human capital should take part in the arrangement of enterprise ownership which is an essential way for the development of human capital.A combination of the characteristics of knowledge-based SMEs, especially the characteristics of management and consulting firms is used in this paper. From the view of evolution of human capital theory, type of human capital, human capital characteristics and measurement of human capital, this paper studies on the way of human capital take part in the arrangement of enterprise ownership. In addition, this paper studies on the theory and pattern of enterprise ownership as well. In conclusion of the western theory and practice, with the characteristics of human capital in SMEs of management and consulting, this paper give out a model about human capital taking part in arrangement of enterprise ownership. On this basis, give the analysis of human capital in knowledge-based SMEs ownership arrangements with relevant cases.
