It has been almost thirty years since the reform and opening up in China. The reforms in enterprise system have entered into a critical period and improving its management is becoming more and more important. Workers and staff members' participating in enterprise management has become a heated research topic in economics, science of law etc. Though there are a lot of beneficial attempts in this aspect, there is a long way for us to establish and perfect the participating system. It has been shown that to enhance the management and quality of a business and to establish its modern enterprise system, the participating system will play an important role. From the perspective of the law, this thesis introduces what is enterprise administration and summarizes the universal theories concerning workers and staff members' participating in enterprise management. And then it gives an in-depth analysis of the legislative practice, focusing on workers and staff members' participating in enterprise management. At last, the thesis points out the existing weakness in this system and offers some proposals for establishing and perfecting it. The line of thought in this thesis is from general to concrete, from macro to micro.This thesis consists of four chapters except introduction and concluding remarks: Chapter One: A brief account of enterprise management. This chapter mainly analyzes the basic contents of business administration and gives it a definition from the perspective of the law. Enterprise management refers to a set of administration system in which ownership and managerial authority in an enterprise are highly separated; power and rights balance, interests balance, science and democracy in decision-making are all ensured among enterprise, stockholders, runners, creditors, workers and staff members. This set of system must be formulated according to the law in our country and the regulations and actual conditions in an enterprise. Only by doing this can we improve an enterprise's performance to the fullest possible extent. It's main legal features are as follows: the precondition of legal management in an enterprise is that economic relationship does exist; enterprise management is dynamic and arranged under the law; it is made up of two parts including inside and outside.
