The reform of state-owed midium and small enterprises, such as Zhucheng model and Shuozhou model started at 90's of 20th century, which provides a lot of successful experience for reform of state-owed medium and small enterprises. According to statistic data of Commission of National Development and Reform, state-owed medium and small business has been an important part of national economy, and its influence on national economy can not be neglected. However, at present, there are some unclear ideas about model of reform of state-owed medium and small enterprises, and support of local government is insufficient. These problems results from incompetent understanding(such as neglect of complexity and specialty of reform, which leads to considering reform as a campaign), non system of state or local policy, limitation of guidance, and further deep political and economic interests.A further study of reform model of state-owed medium and small enterprises is both theoretically and practically important in reinforcement of view of scientific development, acceleration of reform of state-owed medium and small enterprises, insurance of maintenance and increase of state owned assets, and accelerating realization of socialism development.With a combination of research methodology of induction, abstraction, and empirical and synthetically study, and the based on the present situation of reform of state-owed medium and small enterprises of Jiangyou City, the paper first discusses theories concerning reform of state-owed medium and small enterprises, such as ownership theory, Principal-agent theory, and Path dependency theory; then taking above theories into consideration, it puts forward an empirical study of efficiency and problems reform of state-owed medium and small enterprises of Jiangyou City, and finally it generalizes the general model of reform of state-owed medium and small enterprises of China, that is,mixed ownership for medium enterprises , and private ownership for small enterprises. The author is fortunate to be engaged in the reform of state-owed medium and small enterprises of Jiangyou City to have a lot of valuable first-hand information, to complete this paper with guidance of relevant theories. Part I is introduction which introduces the study background, significance of the study and the issues which are to be discussed in the paper.Part II discusses ownership theory, Principal-agent theory, and Path dependency theory, to provide theoretical foundation for further discussion.Part III is to take some cases of reform in Jiangyou City into consideration, and to introduce the general situation of reform in the city. Then it describes some typical cases, to provide practical foundation for suggestion of general models of reform of state-owed medium and small enterprises of ChinaPart IV is a conclusion of the previously discussed cases. It compares the model and efficiency of two reforms in a vertical way, and that of different enterprises in a horizontal way.
