Enterprise group is a kind of industrial organization form generally adopted by industrialized country or developing market which considered as the product to overcome "market invalid" . Since the middle of 80s of the last century, China's government encouraged the development of enterprise group by means of changing duties and shuffling cards. Nowadays, Enterprise group has become the mainstay of China's economy, but there are some universal problems, such as "big but not strong", "gathered but not united", especially in the internal parts.Huajin Group is a sate-owned Ltd which is jointly recombined by state capital committee of A city and syndicated by six state-owned companies through administrative assignment. However, because of intrinsic operation inertia of each subsidiaries and ineffective management and control methods of parent company, the group has slight effect on internal management control and operation coordination .Through case study methods, this article analyzes the problem of management control system in Huajin company, and then bring forward a complete innoxative blue print of group management system.Firstly, this article analyzes completely the actuality of management system of Huajin Group. Then on the basic of survey data and interviews, this article carries through an empirical study on innovation management system from angles of group's strategy, leading system, management model, operation system, organizational structure. Finally from the perspective of group headquarters' value creation, carry out a method of using synergies to resolve the management problem of enterprise group's reorganization.
