Study, Based On The Corporate Governance System Of The Finance Function Effectiveness

Company "effect of financial work" is the actuall effect which company financial work ptoduces,also can be briefly named:company "financial function ".company "financial function" can not exist outside of corporate governance system,it must be the part of corporate governance system.The article is just the one,in which author demonstrates how to introduce functional legislative principle of "effect of financial work" to concummate the structure of corporate governance units,and establish more scientific corporate governance system of integrating ""financial function".In view of the cost of corporate governance,the mode of corporate governance system which author proposes in this article is mainly fit of the application of Chinese large-scale joint-stock corporation.The article mainly comprises four chapters,as follows(explains in panes):Introduction:the background of corporate governance system in the world,and the application of the best corporate governance system.First chapter:the basic theory of corporate governance system,primarily analysing the theory of interest host and the theory of the structure of corporate governance system. Aim is:knowing basic mechanism of corporate governance system,remembering merits and demerits of all kinds of modes of corporate governance system.Second chapter:analysing the problems of Chinese corporate governance system, involving the problems of stockholders convention,directors council,surveillance council etc.Aim is:putting forward and analysing problems,points out the importance of financial work in corporate governance system.Third chapter:guidance idea of solving the problems of Chinese corporate governance system,author thinks,if we want to solve these problems relative effectively, we must introduce one functional legislative principle-legislative principle of"effect of financial work" in the legislation of corporate governance system.Fourth chapter:guidance of legislative principle of "effect of financial work", applying material functions of the legislative principle,giving author's legislation advices in some taches of Chinese corporate governance system,accomplishing "financial function" amelioration of Chinese corporate governance system,finally establishing Chinese own mode of corporate governance system-" ternary units "mode of corporate governance system.
