The theory of Traditional company ownership tink that the shareholder is the actualinvestor of the company capital, including currency and material assets,who faces the problemof operation and the risk of investment. Therefore the shareholder should be the only owner ofthe company,who enjoy the right of control and obtain which belongs to the branch ofownership,so the shareholder is the core body of company’ interest. The existence andoperation of the company’ final aim is that to pursue the biggest shareholder interest.Asactual control right separate from ownership in modern company,which is owned by theactual controller,who fulfill own interest by hurting the interest of shareholders usually.So theproblem of corporate governance is solved by that a series of system which be designedaround how to control and supervise actual controllers.With the development of the theory of modern company and ownership’, the correlativeinterest body of the company own and govern company together is to become the new viewagainst the theory of traditional ownership, which tink that the problem of corporategovernance solve not only the problem of interest conflict between shareholders and actualcontrollers, but also solving all problems of the company interest body conflict to be informthe system of governance which is effect and balanced, that composes by employees,customers, the government, creditors.With the development of knowledge economy,employees who are the owner of knowledge are valued,and then they require the interestfrom shareholders.As this background,the article analyze the problem of corporategovernance as the guide of employees governance and think than complish the internal andexternal system of employees governance by theory relation to fact,then finally inform asystem of employees governance,which has a important significance of guidance and practiceto protect employees,reform the system and structure of the company,enhance the companyefficiency.The Article divided into eight parts. The first part mainly propose background andsignificance,frame structure and innovation of the research of the system of companygovernance,as the guide of employee governance,and the assumptions of article.The secondpart mainly introduces the domestic and foreign different views and opinions aboutcompanies governance historical premise, and synthesizes the various views and put forwardown views about the problem of corporate governance, then pointed out that corporate governance is not only the problem of interest conflict between shareholders and actualcontrollers, but also is the system of balance and effect of all the company interest bodyconflict,which are regarded by a introduction for the detailed dissertation of employeesgovernance to relate corporate governance to employee governance. The third part is the basisof employees governance.The article analyzes the necessity and possibility of employeegovernance from the angle of theory,law,cultural environment,which provide the necessarybasis for the employee governance. The fouth part mainly introduces the real use ofemployees governance in American and Germany, and analyzed the present situation andproblems of our country’ employee governance, which provide effective methods forimproving our system of employee governance. The five part puts forward complishing theexternal and internal system of employee governance,including employee directly joining thesituations of company governance and democratic management to govern. The six partindicates external market system can realize employees governance by the system of freemovement of labor and talent competition of company,which affect employees and companyrespectively.The seven part indicates the system of employ governance, including the internaland external governance system.The eight part draws a conclusion that employee governanceis an inevitable choice in Chinese enterprise.As the actual situation and governance defect inchina, construction of employee governance internal and external system is an inevitablechoice.Only to establish a complete employee governance system to exert effect is the bestchoice to improve company corporate structure and raise company efficiency.
