The development level of company have been the most important reference for the economic development at present, the major listed companies are trying to establish a sound corporate governance system, balance the interest achievement for the stakeholder, effectively monitor and direct the correct direction for the power, finally, maximizes the common benefit and the value of the firm, the most intuitive approach to check the corporate governance is complete or not is expressed by the efficiency data of it. Therefore the assess to the listed companies of China which providing reference for the practice and improvement if of great significance. In this thesis, we choose the retail trade which closely relates to the very interests of the people and the governance efficiency of the listed companies as the subject investigated. At the present, the listed retails trading companies is under the critical period of reformation. Our market have lowed the threshold for foreign chains that leading to the cut-throat competition, as a result, domestic chains have to face unprecedented challenges since china's accession into WTO. The development of listed retail trading business not only need strong government support and encourage, but also promote the reform of state-owned enterprises. So after the global economic crisis, the rapid shrinkage of customer attack the global retail trading in varying degrees in this special economic conditions, the study of governance efficiency have great practical significance for promoting economy develop, stabilizing social order and creating more jobs.The thesis is from corporate governance point of view, select the important part of corporate governance system in domestic retail trading list companies as the samples input index, at the meantime, select the factors of performance which is instead of governance efficiency as output index. Use the traditional regression and DEA method to evaluate governance efficiency, find out the superior of DEA method through the real diagnosis. Thus make up for getting the best sample that traditional regression couldn't get. In DEA method, assess the governance efficiency of china retail trading listed companies based on longitudinal and lateral clue to get the conclusion from empirical analysis and provide suggestion to better the China retail trading governance system make the relevant documents about empirical research more objective and comprehensive, provide theoretical basis and reference for the study of governance efficiency in China business.
