In the early 21st century, Chinese enterprises are facing a brand new business environment which includes mainly about four characteristics. Firstly, the mature market economy system has been gradually formed, our country will be completely out of the planned economy era; Secondly, the information technology era is coming like the West countries, the occurrence of the information revolution is changing the people's ways of thinking and behavior in China; Thirdly, under the condition of a buyer's market, the relatively saturated markets will inevitably appear and will be increasingly competitive; Fourthly, in order to maintain coordination with the world economic development, China has accession to the WTO, enterprises "internationalize" the process will be greatly accelerated.For an enterprise, the internal management systems also need to gradually change and improve according to corporate strategy when the external business environment changes rapidly. In order to cope with the changing external environment of enterprises, establishing the organizational structure of enterprises which is in line with the strategic environment is the fundamental problem of each company. Change means innovation, which makes each business met with many obstacles and difficulties. For the enterprise organization structure changes, the current domestic and international academic circles have tended to focus from the modern enterprise management theory and successful benchmarking enterprise management mode to hope finding the theoretical support and factual basis of the organization structure changes. However, few people realize that the fundamental problem of the external business environment and internal management of the environment is the issue of system. That is the system changes in the environment determines the enterprise should make the appropriate changes in a timely manner.In this paper, theoretical analysis and empirical study are both adopted. And it's from the perspective of institutional change theory of institutional economics to start, based on drawing on a wide range of domestic and foreign institutional change theory and its application in practice, and focused on the study of how the regular pattern of institutional change determines the enterprise organization structural change. This study argues that the "potential profit" of institutional change is the internal dynamics of a change in the organizational structure, path dependence is the biggest obstacle to change, and in the way of organization change, the enterprises organizational structure change has the common points with different levels of institutional change. On this basis, this paper presents the general process of change in organizational structure and models, trying to find general regulations of enterprises organizational structure change, as to provide an alternative attempt of the research in the enterprise organizational structure change, and as to play a practical role in guiding changes in the organizational structure of enterprises in practice. At the same time, this paper demonstrates the important role of the learning mechanism for continuous innovation of the enterprise organizational structure, for encouraging enterprises to overcome the path dependence, and for realization of the path of innovation in circulation mechanism of the organizational structure change.
