Outsourcing non-core business process has been the trend of enterprise in the market competition. Nowadays, it has been a strategic choice that manufacturers outsource non-core business process to 3PL distribution center in order to respond to the non-determinacy in quick changing environment. 3PL distribution center controlled the logistics, inventory and customer relationship resources of supply chain more focused by the collaboration with the manufacturer and suppliers. Thus, it's work has a direct impact on the stability of the supply chain. However, because of information asymmetry, 3PL distribution center's specific action can not be observed by stakeholders, which will lead to the emergence of moral hazard easily, damage the interests of partners, affecting the stability of the supply chain. In view of this, this paper presented a study of 3PL distributing center's service contracts and incentive mechanism, with the aim to provide a theoretical reference for the cooperation between supply chain and 3PL distribution center.First of all, it introduced the basic theoretical knowledge of outsourcing service, focused on the formal contract and relational contract theory.Second, it focused on the service collaboration between 3PL distribution center and supply chain, the participation motivation of enterprises in supply chain was analyzed, the main features of 3PL distribution center cooperative services was studied, the corresponding strategies was proposed. The research implies that to some extent, 3PL distribution center cooperative services makes up some deficiencies of service decision-making agent mode under non-cooperative environment. It helps to improve the control of supply chain enterprise resource, and the cooperative service is conducive to information, knowledge exchange and outsourcing cost savings.Third, it focused on the supervision of manufacturer to 3PL distribution center, a service contract was established. According to the analysis of the service contract, the feasibility and some characteristics of the outsourcing contract under manufacturer's supervision were verified. The conclusion implies that an effective incentive mechanism intrinsic to inspire can be formed by this service contract, which can incent 3PL distribution center to work hard, at the same time manufacturer's expected revenue will increase.Finally, it focused on the intangibility and the unverifiability of some value-added service in outsourcing,a relational contract was designed with principal-agent theory, and the incentive effect of discount rate on the relational contract was analyzed. The conclusion implies that the relational contract can incent 3PL distribution center to work hard,and when the discount rate is large enough,a first best system outcome and a first best effort level of 3PL distribution center could be achieved through relational contract.
