In recent years, corporate social responsibility has been considered one of the hot issues both in the area of theory and practice. With the development of economic globalization and international business management, corporate social responsibility is no longer a passive one, but more an expectation of long-term sustainable development for enterprise and society. This paper holds that the key of corporate social responsibility management is stakeholders' management, and the meaning for corporate social responsibility is to deal the relationship between stakeholders and meet their needs and expectations, to gain their satisfaction, trust and loyalty.Combining the theory of corporate social responsibility with stakeholder theory, from the perspective of the social contract, this paper establish the social contract model to game between the interests distribution between the stakeholders, aiming to raise a approach of corporate social responsibility management from stakeholder perspective, to improve economic performance, so as to achieve the ultimate win-win between business and society.
