Family business is such a major power to promote our economic development and make indelible contributions to the overall strength of the national economy. In Hong Kong, the start-ups of many family businesses achieved huge wealth by their selves, but with the company growing, problems in corporate governance appeared.The paper summarizes the corporate governance problems of family businesses in Hong Kong, takes the relevant theory of family enterprise system and management as background, describes internal and external environment of the family businesses and selects two typical companies which called "H" group and "LLK" group to be the comparative cases, through the following aspects including their different developments, the relationships of ownership and control, farther perfect of their corporate governance structure, the healthiness of incentive and restraint mechanism, several research of inheritance and how to enrich their corporate culture to generalize their common features in different stages. Especially aims at potential problems of H group to bring forward some useful experiences from LLK group.The paper aims at describing and analyzing how do family businesses in H.K deal with their corporate governance and inheritance problems. And come to bring forward generality advices for the family business in our country, such as reform of property rights system, organization of the modern enterprise, optimizing the internal and external environments, transition to modern enterprise administration, seeking after the valid incentive and restraint mechanism and so on, in order to provide scientific basis for other companies.The framework is theory combing with cases.The research method is generalizing and comparative describing.There are 4 pictures,7 tables and 40 references.
