In the new century and the new stage, China is now promoting the establishment of innovative enterprises and the reformation of the income distribution system. Not only should we make full use of the favorable conditions of "golden development period" to explore and innovate bravely and to promote the optimal combination of production factors through a system that is more reasonable and a mechanism that is more effective so as to accelerate the transformation of economic development mode, but also should we keep a cool head to face up the feature of "prominent contradictions period", taking the income distribution system reformation as an opportunity to handle the relationship of effectiveness and fairness correctly so as to promote the establishment of a harmony society.Starting from the connotation of the production factors, the paper divided specific resources into two groups: physical capital and human resources capital. Corporate enterprises system is based on "capital employ labor" and is a distribution manner that physical capital shares the income of enterprises exclusively. The correlation analysis for the salary distribution of the directors, managers and staffs of Shanghai and Shenzhen listed companies shows that the relationship between production factors and income distribution in modern businesses is rather unreasonable. Coupling design of production factor and income distribution is to bring the two into an organic unity to cultivate the technology innovation, management innovation and human capital innovation, and to enhance the status of human capital, restructuring the board of directors and the board of supervisors and to reposition the board of managers and in the mean time build a new mechanism for human capital and physical capital to share the surplus of enterprises together. The purpose of the design also means to uniform the distribution chain and to standard allocation process. Income distribution reform should be supported by the performance of production factor and the latter should be led by the need of income distribution. The distributing relationship between human capital and physical capital should be adjusted by a flexible proportion arranged by the government and the income distributing relationship among a managing-type human capital and a skill-type human capital and an operating-type human capital should be adjusted by the differences of scores among different post so as to realize a positive interaction between production factor and income distribution. With the establishment of the indicators of innovating contracture, adjusting the current performance evaluation system of enterprises will be helpful to guide the coupling of production factor and income innovation of enterprises.
