In the present world, with the trends of the knowledge economy and the economic globalization, the human capital is the cores of economic growth and development. Confronted with such a background, to adapt the needs, develop the productivity, improve the international competitiveness, change backward style of economic increase and realize the goal of build well-to-do society, the research on human capital of XinJiang is an important strategic meaning. The dissertation is designed to have a systematic, profound and thorough study of the institutional defects of human capital production, disposition and encouragement of XinJiang, to probe into the countermeasures of the institutional innovation so as to promote the quality level of human capital, and to make full use of human capital, and to realize the development.The whole paper has five chapters. Part one is introduction, this chapter introduction the significance of that research on human capital, and explains the main methods and structure of thoughts of human capital studies. Part two: the foundation of the human capital theory and the system. The relation of human capital and system forms foundation of the research. Part three: the systems of the human capital form. The form system of human capital is basic of the development. Human capital forms through investment, education and training as the key forms. The education system in XinJiang has defects: insufficient education investment, the single educational investment subject, etc. According to these defects and their system origins, we should innovate educational system, strengthening the investment of human capital and optimizing educational investment structure to form effective, new-type educational system suitable for XinJiang economic needs. The government should strengthen implementation on training idea, training plan and fund, constitute human capital training system strategy through legislate, making the investment institutionalize legalize and making train system standardize.Part four: the system of the disposition of human capital. Disposition of human capital is centre link of the human capital development process. Corresponding to planning allocation mechanism in the two kinds of mechanisms, the human capital allocation mechanism has higher efficiency in collocating rational distribution and accelerating to economic growth in proper human capital circulation. At present, there are characteristics in disposition system of human capital: two collocation mechanism that plan coexist with market and human capital market lags behind the practice. Operator market-oriented disposition system mainly through market mechanism to choose and the encouraged way is simple. Setting up and perfecting operator's disposition system is to reform the way of government appointed operator with administration and realizing operator chose progressively by market, to strengthen and perfect inside and outside and outside restrain system.Part five: the distribution system of human capital. The human capital assignment is that the key to human capital development process. The present distribution system relies mainly on the fact that the income relatively low and the form of income is single for a long time. Innovation of distribution system must set up the system that is based on the realization of reflecting property right income of human capital. Practicing share system, trying and deepening reform of the operator's yearly salary system and the system of stock option, we summarize experience constantly in practice to probe and realize innovation of reform of reform of distribution system actively.
