Along with economic development, with the emergence of knowledge-based economy, the advent of the era of globalization, the enterprise of the human capital being a shareholder have a stake in a growing number of regions and sectors, it is very valuable for us to study it. At the present time, the domestic research on corporate governance institutional arrangement with the enterprise of the human capital being a shareholder scarcely. In this paper, we study corporate governance institutional arrangement from the problems of corporate governance angle deeply, in order to improve the institutional arrangements for corporate governance with the enterprise of the human capital being a shareholder.This text proceeded to the research according to the following problems:The first one is what the nature of corporate governance is. The second one is what the problems of corporate governance are. The third one is what the cause and manifestations of corporate governance are. The fourth one is what the impacts of corporate governance problems to business are. The last one is what institutional arrangement for the corporate governance problems should be.On the first question answer, we thinking the nature of corporate governance are the enterprise ownership arrangement for specific. The specific are arrange the enterprise responsibilities, rights and profit rationally, specifically the rights and responsibilities within the enterprise through institutional arrangements.To answer the second question, we managed to refine clearly and definitely the kinds of numerous and complicated key corporate governance problems with the enterprise of the human capital being a shareholder to three corporate governance problems which affect the corporate governance risk together. The three corporate governance problems are, (1) the disagreement of shareholders interest lead to corporate governance problem; (2) the bounded rationality of shareholders lead to corporate governance problem; (3) the information asymmetry of shareholders lead to corporate governance problem. On the third and fourth question answer, we normative research the three corporate governance problems deeply, to analytic the performances and impacts of the corporate governance problems.On the fifth question answer, first we overview specific institutional arrangement for specific corporate governance problem, then for each specific institutional arrangement to be a specific study.
