The Research On Corporate Governance Of State-owned Hotels

Nowadays, corporate governance is a world topic in the fields of management, economic, and law for study. So many cases of companies have explored that corporate governance has been the determine factor of enterprise competitive power. It is the key of keeping development as well as high-speed increasing.Compared with other industries, the outstanding characteristics of state-owned hotel are opening to the outside world earliest; mercerization strongest but be relatively backwards in terms of the structure of corporate governance. There are many extraordinary characteristics in state-owned hotels, such as the inseparable relationship between hotels and government; the outstanding administration attribute of institution; the unclear economic attribute of corporation, etc. All of those characteristics induce a question that is whether locate it as an economic origination of pursuing biggest economic benefits or locate it as a political institution of working for government service? Because of the specialize factors, the corporate governance of state-owned hotels cannot copy or imitate other developing country's hotels. It has to follow Chinese characteristics in corporate governance, at the same time; it has to create a mode which is suitable for the state of affairs in our country also.This paper considers that the problems about corporate governance of state-owned hotels mostly concentrate on property right, structure of corporate and managers'incentive scheme. In most state-owned hotels, the poverty right has structure of'one big share alone'and the structure of corporate governance exists in name only, even the managers'incentive scheme is singleness. By the intensive study on corporate governance, this paper offers several feasible proposals for corporate governance of state-owned hotels, hoping that these proposals can advance the business efficiency and performance of state-owned hotels and promote the economic development in China better and better.This paper sets the starting from the specialize of corporate governance structure of state-owned hotels in Qingdao, trying to study the questions of state-owned hotels in corporate governance by the way of document research and empirical study. This paper is separated into five parts. The first part is introduction; it mainly focuses on the background study of corporate governance; the study meaning of corporate governance; the overview document of corporate governance, as well as some relevant theories. The second part introduces the current situation of state-owned hotels of China, and analyzes the corporate governance in state-owned hotels. The third part is the empirical study of state-owned hotels'corporate governance in Qingdao. It is seen to be the first pertinence study of state-owned hotel's corporate governance in Qingdao. It is also have the positive function for the continue study in the field of state-owned hotels. On the other side, by studying the theories of corporate governance and the state-owned hotels in Qingdao, this paper raises the exciting problems of the state-owned hotels in Qingdao, and brings forward some feasibility suggestions and policies for the hotels of Qingdao, which are also have useful effort on state-owned corporation's innovation in China. The forth part mainly discuss the problems of corporate governance, and give some suggestions on the basis of existing measure. The last part mainly sums up the basic views and conclusions of this paper, at the same time puts forward limitations of this paper and raises the following study in the field.In the other aspect, this paper investigates the state-owned hotels in Qingdao uniformly, though few state-owned hotels are restructured while most belong to the category of institution, restructuring of corporate is sure to be the direction of state-owned hotels'development. This paper analyses the impediments of corporate restructuring in Qingdao, and offers some focused proposals, hoping that these proposals can be useful to the restructuring of state-owned hotels in Qingdao.
