The Comparative Research On Public Company Financial Governance Pattern Of China And America

Starting with the theory ground and practical meaning, this thesis reveals, by means of comparing the differences between Chinese public company financial governance structure, mechanism and behavior and those of America, the discrepancies between Chinese public company financial governance pattern and that of America. In addition, basing on analyzing America's advanced experiences and our country's deficiencies, this thesis raises personal suggestions as well for the perfection of our country's public company financial governance and the development of our country's securities.This thesis is divided into 6 parts: the first chapter illuminates the theory ground and practical meaning briefly; the second chapter clarifies related theory, definition and relation in detail; the third chapter to the fifth chapter are the main parts of this thesis, which cover comparison, analysis and conclusion between Chinese public company financial governance in structure, mechanism and behavior and those of America; concrete feasible measures are put forward in light with our country's current circumstances in the last part of this thesis.The public company financial governance of America is rather perfect in some extent; Upon the storm of the Enron Event, the government of the America promptly took urgent measures and adopted Sarbanes-Oxley Act, which has a great effect on similar acts, the stability of securities market and the regaining of investors' confidence .Illegal acts concerning public company financial governance occurred one by one in China, a constructive conclusion is drawn in the last part of this thesis that we shall first optimize financial governance structure, reform and improve inner prompting and external supervising mechanism, and standardize financial governance behavior such as financial information disclosure simultaneously.
