However, the company was founded, development is very difficult,"no single difficult, a single three-year survival" is a true portrayal of the IT industry.This paper takes H company as the research object, on the basis of analysis of financial governance and results of existing research, through literature review, theoretical analysis, investigation and interviews and other research methods, taking the allocation of financial rights as the main line, around the practical problems of small and medium sized IT enterprises in the operation of the process, from the aspects of financial governance structure, financial governance mechanism, finance governance behavior, sort out and study the full range of financial related effects of H company operation, to resolve the IT small and medium-sized enterprises to survive and development, for the company’s development strategy, business pattern, team construction, cultural construction guidance, make the financial and give full play to the guidance and oversight role, in order to achieve the purpose of specimen.In this paper, on the basis of the study on Synthesis of H Company, put forward to improve the financial management of H Company, the countermeasure and the suggestion, thus draws the related conclusion. This paper believes that, for the medium and small IT enterprises, in different stages of development, should finance governance for different goals, to carry out dynamic allocation of financial rights; from the enterprise and stakeholder value maximization and the viewpoint of sustainable development, should change the financial management mode is single, the allocation of financial rights as the center of the multi-level dynamic financial governance path, can produce synergy, to build an integrated financial management system, to optimize the corporate governance structure, improve the efficiency and effectiveness of financial management.Through the study of financial management at the present stage of H Company, aims to optimize the financial flow, and regulate the operations of the company, effective way to explore the financial management of small and medium enterprises, and Financial Governance Dilemma of other small and medium enterprises encountered IT, provides the reference and the certain value of reference.
