Medium-sized and small enterprises has become a kind of newly emerging force which impulses Chinese economy rapidly development. As china joining the WTO and deepening the reform and openness, Medium-sized and small enterprises must confront more and more violent competition among enterprises. This kind of competition, in the final analysis, depends on knowledge and talented persons. So, how to urge the knowledge-employee is the core and key thing for sustainable development of Medium-sized and small enterprises.Nowadays, there is a Wrong inclination in the Compensation-incentive system of Medium-sized and small enterprises' knowledge-employee in China, such as regarding matter superior as spirit, regarding personal superior as team, regarding short term superior as long term. This paper takes Compensation-incentive system of Medium-sized and small enterprises' knowledge-employee in China as the center, applying relevant theory such as Human Resource Management, Organizational Behavior, etc., by analyzing the cause of the problems of Compensation-incentive system of Medium-sized and small enterprises' knowledge-employee in China, and basing on the experience of foreign enterprises, trys to give some immature advice on improving Compensation-incentive system of Medium-sized and small enterprises ' knowledge-employee in China. At last, takes J.S.
