Study on Xi'an Economic and Technological Development Zone(ETDZ) is an epitome,in studies on state-level development zones'.The formation of Xi'an ETDZ's technological learning and innovation experienced quite a long time,and its development closely connected with the Chinese economic system and technical system reform,in which the latter one was the embryonic form of Enterprises technological learning and innovation in Xi'an ETDZ,and the both promoted the development and consummation of it's technology learning and innovation system.So study on the relation of institution and the enterprise technology learning and innovation in Xi'an ETDZ appearances much important in both theory and practice,which promotes to the technical learning and innovation ability in owe developed zone as well as remains the regional economies development sustainably and rapidly.Based on the summarize about related literature,the paper begins with analyses about the technical learning and innovation and institution,including their concept,characteristics and research current status.Then emphatically explains the function of institutional arrangements to the campus economy.Next put forward to the concept of institution accepted in this paper,and the restraint analysis with Xi'an ETDZ's economy,finally analysis framework was designed,which is used to discuss the process of institution influence on the process of enterprise's technology study and innovation. The paper chooses two representational enterprises for deeply investigate and analyze, the findings presented confirm that both the national policy and the economic development background are vital for the development of enterprises,furthermore the corresponding equity system reform,the independent research and innovation,cooperation with kinds of researches organization including the scientific research,courtyard institute and the service organization,all of which greatly promote their ability of technical learning and innovation.As for ETDZ,a series of measures adopting with national,provinces and cities policy including enterprise preferential policy,the reward measure,the introduction of talent policy as well as related infrastructural facilities,are proposed by Management Meeting at the right moment greatly promote the Development Zone's technical learning and innovation.The paper is divided into six parts.As an introduction,Chapter 1 mainly presents the background,significance,the method of the study,the framework and innovation in the paper.In chapter 2,traces previous studies and give literature review on relational fields. Based on the studies of institution theory,the paper analyze relationally the theory on technical learning and innovation,then advance the concept of institution accepted in this paper,and the restraint analysis with Xi'an ETDZ's economy.Then Proposes the relationship between institutional innovation and technological learning,economic development in the role of institutional environment,in the end of the part the framework of this article is made.The third part analyses the overall developmental characteristic of Xi'an ET DZ.In the base of the introduction followed by on the Xi'an ETDZ'S basic situ ation,the beginning background,economic background and so on,the developme nt of the Xi'an ETDZ is divided into different historical stages,the part has carr ied on the related explanation to various stages' economic system reforming,final ly lists institutional arrangements advantageous to the technical learning and inno vation under the current system environment.The fourth part makes the cases analysis on Shaanxi Automobile Group Co.,and Ltdand Sinosteel Xi'an Machinery Co.,Ltd,explains their developments as well as the institution to drive their technical learning and innovation in the process of developments. The fifth part proposes opportunities and challenges faced by enterprises in Xi'an ETDZ,through making the cases analysis on Shaanxi Automobile Group Co.,and Ltdand Sinosteel Xi'an Machinery Co.,Ltd,then advances a series of suggestions,in which especial some constructive ones on system policies.Finally part has carried on the summary to this article conclusion,some faults were pointed and further study programs were suggested in this study.
