The board of directors is the core of corporate governance, and the board performance results in the performance of corporate governance. Seeing from the domestic and international governance practices, the reform of corporate governance especially emphases on how to improve board performance.Modern corporate board is the core of corporate governance that is the nexus of shareholders and management authorities. With the development of corporate governance and activism of the institutional investors, more and more boards were asked to improve their effectiveness. The evaluation of board performance is an effective method to improve the board effectiveness. But how to evaluate board performance is difficult both in theory and practice. We are to research on the appraisal system of board performance, studying the core of the structure of cooperate governance by performance theory. It will be positive for governance and performance appraisal of board.The domestic study mainly focus on constitution, independence, decision-making and the relationship of management team. Comprehensively analyzing the function, character and reality of board, we bring forward the method of performance appraisal; we design system of performance appraisal of board on the basis of extensive analysis and by the theory of Balance Scored Card and further probe into the problems in operation of system of performance appraisal. It is not only meaningful for cooperation governance with effectiveness but also for upgrading of cooperate value.
