Project Management has been a research area which people take into more attention since 1940's, however, the rate of projects failure still stays at a high level. This fact does not only give troubles to company but also let the Project Management researchers embarrassed. Project manager is the core of Project Management, however, a large number of problems which caused projects failure cannot be solver at the level of project managers. Based on these problems, this paper puts forward Project Governance Iterative Process Model, and then provides ideas for resolving project problems which cannot be resolved by project managers.This paper contains six Chapters:Chapter1-------Introduction. In this chapter, level of the development andproblems in project development are analyzed, objective and significance of this paper are started, which is resolving the problem of high rate of project failure from project governance aspect. Project success depends on the comprehensive project stakeholder taking responsibility for finishing tasks, and then the goal of project can be achieved. According to literature of project governance, the research contents are educed.Chapter2-------Literature review. In this chapter, the problems of literature are putforward through analyzing.Chapter3-------Putting forward Project Governance Iterative Process Model. Inthis chapter, the differences of Corporate Governance, Enterprise Project Management, Project Management, and Project Governance are discussed firstly, then defining the conception of Project Governance. In Project Governance, the relationship between stakeholders is concurrent fellowship; the power of stakeholder is compensation for the responsibility of role; the dynamic role network composes the structure of Project Governance; different Project Governance styles can be gained through unified process. According the guidance, the framework of Project Governance Iterative Process Model is putted forward: first, the charm of project come from that project stakeholder want to satisfy themselves through project, no project can be successful without the support of stakeholders, so the chief task of Project Governance is identify the need of project stakeholder; second, for satisfying the need of project stakeholders, the responsibility, power and benefit should be confirmed, means defining the role of Project Governance; third, on account of dissymmetrical information and opportunism, project stakeholders are not always willing to take on project task, so Project Governance role risks are existent, which makes identifying Project Governance role risks essential; fourth, constructing role relationship between project stakeholders can avoid or alleviate Project Governance role risks efficiently.Chapter4------Analyzing the elements of Project Governance Iterative ProcessModel. In this chapter, starting from the framework of Project Governance Iterative Process Model, four aspects of Project Governance Iterative Process Model are analyzed: first, through reviewing the literature of stakeholder and discussing the identification methods of stakeholders' needs, new identification method is gained; second, six Project Governance roles are defined through analyzing the literature of role, then discussing the organizing of Project Governance roles; third, primary Project Governance role risks are discussed; fourth, aimed at primary Project Governance role risks are discussed, raising corresponding measures.Chapter5------The proving and revising of Project Governance Iterative ProcessModel. The essence of Project Governance Iterative Process Model is grasping key successful factors of project from the aspect of Project Governance, whether contains primary key successful factors is the criterion of Project Governance Iterative Process Model's validity. So in this chapter, the start point is project key successful factors, then screen out Project Governance key successful factors. Based on the Project Governance key successful factors, then design the questionnaire and deduce a series of Project Governance key successful genes which can be explained by Project Governance Iterative Process Model, proving that the Model is effective.Chapter6------Conclusions and Prospects. In this chapter, primary researchconclusions are summarized first then put forward the further research directions.
