| The enterprise in this thesis is defined as the organization which has clearly established ownership, well defined power and responsibility, separation of enterprise from administration, and scientific management.The modern enterprise with high core competitiveness must have excellent human capital. The human capital can not do their best work hard consciously any longer under the thaditional simple labor contract relationship, and they can not be supervised and bound in the management practice either. Upon this background, how to build competitive salary system insdead of the traditional one to motivate the core talented persons becomes the key emphasis and strategic guidance in the engineering of the salary reform. Stock-based incentive tools were introduced to practical operations and acquire rapid development. Carrying out stock incentive plans in China's modern enterprise has very profound meaning, and it is needed by all the state-owned business reform ,China's Modern Enterprise System progress and the built of corporate governance structure. It can be sure that promoting stock incentive is practical in China's modern enterprise since the capital and manager market have developed better and better.Of course, as a new incentive tool, the stock incentive in practice has met many problems, it isn't because of the tool itself not good enough ,but the erroneous ideas, invalid design or action. Many enterprises choose stock incentive, just because it's popular, they copy the eigenmode, but in fact, the mode is not practical in their own enterprise, and they don't adjust the mode at any necessary time in the excution, they don't know how to take precautions against the risks, and so on, finally, the stock incentive plans suspend or fail.Stock incentive plans are a systems engineering, we must creat an excact effective incentives and disincentives mechanism to ensure all the factors in regular service.In this thesis, according to the sufficient analysis of incentive objects,incentive pattern,stock sources,the quit mechanisms,the management organ and excution and so on, PDCA dynamic stock incentive mechanism of closed loop is designed creatively, and in the end, through the case study of China's modern enterprise, put forward some modified suggestions.The thesis is written to resolve the problems in the stock incentive excution, to seek an effective and practical mode in China's modern enterprise, and to build a platform to maximize the human value. |
