Evaluation And Prevention Of Risks In Cross-border M&A Of Enterprises

Corporation's M & A and reorganization in the West has a history of 100 years. Although in China it has just started soon, but with China's accession to the WTO and China's domestic enterprises are growing, it is inevitable for Chinese enterprises to go out of the country. China's M & A market is now at the initial stage of development, while Chinese enterprises'cross-border M & A is still in its infancy, and it is troubled by a variety of factors, such as the lack of experience, lack of funds, the diversity of combining risk, as well as difficulties in integrating. Therefore, in order to let Chinese enterprises be invincible in the intensive competition of market in the future, this paper studies the Risk Assessment and Prevention of cross-border M & A in China's Enterprise.This paper introduces the theoretical basis of the merger, the history and the present situation of Cross-border M &A in China's enterprises, and stresses the study of the risk of Cross-border M &A in China's enterprises, then makes risk assessment model by using AHP and fuzzy comprehensive evaluation method, and proves the correctness of the model by using the actual cases, in the final puts forward some measures of the prevention of risk on the basis of the analysis.Through careful study of history and current situation, appropriately refers to the research of this field in the western developed countries, conducts a targeted research with the current situation. Successfully conducts the identification of the risk factors of Cross-border M &A in China's enterprises, and also makes the correct risk assessment model, finally, gives some advices about the measures of the prevention of risk.Finally, I hope this research will give Chinese enterprises some useful information in the future cross-border M&A, make Cross-border M &A in China's enterprises develop smoothly and healthily, thereby indirectly Contributes my share for the country's prosperity.
