The Identification And Prevention Of Risk Of Corporation's Cross-Border M&A

At the condition of economy becoming more and more global,and every country are holding down the restrict to foreign capital's M&A, all multination corporation are taking cross-border M&A in order to keep indefectible in the more and more competing global-economy.Cross-border M&A is a piece of higher-risking economic activity than inside M&A, unless you identify,estimate,prevent the risk of cross-border M&A, the cross-border M&A will be fault easily. On the base of statistic of relative department, the fault rate is about 50% in all cross-border M&A activities, whereas, at present, most of the research on the risk of cross-border M&A are qualitative analysis and cases analysis, quantitative analysis is small and out of systemic. Whenas, this thesis try to induct the newest fruit and system of risk management to research how to identify,estimate,prevent the risks of cross-border M&A with qualitative analysis and cases analysis, it should have some value in theory and practice.Firstly, This thesis depicts and generalizes the relative theory and knowledge background, it is a theoretic matting to this thesis's research. Secondly, in the third chapter, this thesis do research on risk's character and risk's factor, and contrast risk's factor of cross-border M&A to that of inside M&A. At the forth chapter, after evaluating risk with qualitative analysis, this thesis induct the model of estimating risk with the tool of blur-mathematics to evaluate risk of cross-border M&A with quantitative analysis, and indut a case to validate it. Bcause of risk's uncertainty, this thesis build a model of staggered evaluating risk to supplement, try to settle uncertainty of risk by the combine of them. At the fifth chapter, this thesis use integration of risk management to research how to defend the risk of cross-border M&A. At last, do a summing-up for this thesis in the tag.
