At present, though the study on the corporate governance is numerous, most of them only pay attention to a certain aspect. Even from collectivity, it just compares analyzes and summarizes existing pattem. Or it adjusts the composition of the corporate governance of Chinese companies, considering the westem developed countries. The research on corporate govemance must be parochial and perfunctory. They can't see it holistic and evaluative. So it can't be well used for guiding in practice.The paper studies on the corporate govemance based on the theory of complex adaptive system, and put forward the concept of complex adaptive system. It proves that the corporate governance is composed by independent, intelligent subsystems. The external environment and itself interact and compose the movement, change and develop of corporate governance. And the paper analyzes the characteristic that corporate govemance evolves constantly with the environment. Accordingly, the pattern of corporate govemance is multiplicative and the developing stage is different.The contact and movement form rule. Rule is the trend of inside essential connection and development. The paper believes that the development of corporate governance is regular. The corporate governance evolves by intercourse, accumulation, adjustability and modification.The paper takes the corporate governance as complex adaptive system, changes the thought that people only study on the part and static, ignoring the whole and dynamic. It requires understanding the corporate governance generally and treating the relation between whole and part correctly, and study the development of corporate govemance by analyzing the connections between the intelligent subsystems.
