During the application and management period of outsourcing, maintenance, intendance and evaluation of risks will be the guarantee of pushing the task. The outsourcing contract can solve the really problem in the trade, can protect both the client and company, can support the risk management and value creation. IT outsourcing can ensure the achievement of contract value and the success of long-term outsourcing.Due to being short of the study on the IT outsourcing factor, this article mainly researches those facets, identifying the risk and risk elusion, investigating the resource of the risks and kinds of factors which can result in the risk, and then identifying and analyzing those risks, the article study the course risks from the facet of client, outsourcing service company also include the contract and cooperation. The paper also establish the risk analyses framework, especially, from the overseas outsourcing contract and outsourcing relationship, it introduce the cooperation between the clients and outsourcing service company, stress on three relationship: market relation, medial relation and associate relation which established by informal contracts. The paper analyzes the style of outsourcing, choice mechanism and management mechanism, in particular, concerns the significance of foundation the associate relation and differ contents in each contract. The article researches the establishment, surveillance and implement of the outsourcing contract items. Through the case study, it analyzes the key factors which influence the management actuality of the domestic IT outsourcing. Base on some restrained factors of domestic IT outsourcing, some constructive suggestions have been advanced by the paper, the author wish them could promote the healthy development of domestic IT outsourcing.
