With the development and improvement of the capital market, more and more enterprises enter the capital market, walking on the road of the property reform and system innovation basing on market, Opened the direct financing channels for the upgrading of traditional industries.As an important form of asset reorganization, mergers and acquisitions have played an irreplaceable role in optimizing the allocation of social capital stock, product restructuring, and the expansion of scale and diversified business activities.In the special background of Chinese system reform of the property rights, the mergers and acquisitions of listed companies face many difficulties and problems. These are never happened in any enterprises' mergers in typical conditions of a market economy. The overall performance of our listed companies is always not so good, and the real success of M & As acts needs a long period of integration.On the basis of the research study of our predecessors' outcomes, through the methods of combination the normative analysis and empirical analysis, for 1999 and 2002 as the examples, we study the performance changes after the merger and acquisition incident of listed companies have occurred. The main content is divided into the following sections.The first part gives an overview of research, theoretical research background, current status of this work and research methods. Part II deals with the mergers and acquisitions of the listed company and mergers and acquisitions performance theory. Giving the definition of the study destination, and also specifying the course of development of our listed companies and the performance evaluation system of listed companies merger.
