With the development and improvement of the capital market, more and more enterprises enter the capital market, walking on the road of the property reform and system innovation basing on market, Opened the direct financing channels for the upgrading of traditional industries.As an important form of asset reorganization, mergers and acquisitions have played an irreplaceable role in optimizing the allocation of social capital stock, product restructuring, and the expansion of scale and diversified business activities.In the special background of Chinese system reform of the property rights, the mergers and acquisitions of listed companies face many difficulties and problems.
