As a corporate form of organization, Family business has a long history. Family business began in the 18th century British industrial revolution, after 200 years of development, in modern society, the family business has developed into the most common form of most major companies. According to relevant statistics showing that more than 80% of the enterprises are family businesses. In the U.S., 80% -95% of corporate enterprises are family controlled and family-owned company, which are around about 17 million family companies (including wholly-owned enterprises). This includes many of the famous world-class companies such as Motorola, Michelin, General Motors, IBM, Ford and so on. Although our family business started relatively late, after the rapid development since the reform and opening up, has grown to promoting China's economic growth and industrial restructuring in China as a major force. But With the continuous development of family business, family business model of family management begin to be felt inadequate, hindering the further development of family business. As the chinese family business affected by traditional Confucian culture , which the main content is family and lineage, it shows different characteristics of family businesses with other countries. Different characteristics of these are mainly in the business management of family business on the "paternalistic" style, and its grave mistrust to external members. This kind of "paternalistic" management and preparedness for family members outside the family business psychology is more suited to the internal governance structure of the performance development of the times. Because it not only leads the internal management of family business into the order of chaos, make the plight of serious shortage of professionals of family business and severely restricting the further development of our family business grow.Given the current development of family business difficulties and on the basis of previous research, This article is briefly described the family business concept, the concept of corporate governance and internal governance structure of family business development process. Then combined with the unique characteristics of family businesses, it analyzed the internal governance structure of practical problems. Finally, from the perspective of corporate governance, it theoretically improved the shareholders of Family Enterprise system, the board system of supervisors and manager system in combination with law, economics and management to build a family business in its own characteristic mode of modern corporate governance and the promotion of family business healthy and sustainable development.
