As the development and improvement of our socialist market economic system in China's continuous, and deepening reform process of the state-owned enterprise, the quality of state-owned enterprise managers have increasingly important t impact on the success and rapid development of business operation. Therefore, it is particularly important to establish incentive and restraint mechanisms, and set up mechanisms for equitable distribution of income within the state-owned enterprises.As a distribution system based on responsibility of business size, the degree of risk and performance and other factors in a cycle of production and operation annual salary system can operate their own interests and the overall interests of enterprises linked to business goals and business owners to make them focus on the same thing, which then can effectively incentive and restraint the operators.How to carry out the work of incentive and restraint is the main issues of the corporate governance, this paper have explored how to build the operator incentive and restraint mechanisms for the theoretical basis,and discussed necessity and possibility of building for the implementation of the operators of state-owned enterprises to provide theoretical support for the annual salary system, from the principal-agent theory, incentive theory and human capital theory.On the basis of the theoretical analysis, the current implementation status of the annual salary system operators and problems are discussed, and the main models of Annual salary system's salary structure have been designed.
