China has become the biggest development potential beer industy. Through mergering for several times, China beer industry has taken shape several beer magnets such as Qingdao Beer, Yanjing Beer, China Resources, Harbin Beer. In 1984, the foreign beer companies started entering to chinese market, but they failed in marketing competition because some reasons:One of them was they ignored the product distribution and whole sale in the market, another one was they thought the brand they had was excellent, so they neglected the chinese consumers'demand, at last many foregin beer companies had to quite from Chinese market.As China entered to the word trade organization, it provided many opporunities for foreign beer companies expecially after chinese government preformed tax reform, it made the local governments'power to protect the local lever of policy and finance methods weakened. After 2001, the foreign beer companies came to chinese market again, they wanted to get the chinese market share through some methods such as control interest, share interest, merger and so on. They started the second attack to chinese beer industry.In 2004,American AB company and SAB company had a control interest war in HongKong trade exchange, and finally American AB company won the war by 5.58 billion dollars and they got the Harbin Beer Group. This made the beer industry competition structure changing a lot, and it would have a great effection to chinese beer industry in the future.The paper use the case to introduce the general situation and opreating status of American AB company and Harbin Beer Group, then it discribes the intergratation of chinese beer industry and the merger background of foreign companies for entering into chinese market two times. At the same time, it introduces American AB company's development course and expanding aim in detail and the integrated situation with harbin beer group. Firstly the case analyzes the marco environment background which AB company expands in China, secondly it analyzes the core competition power of AB company, and finally it evaluates the case which AB company merged Harbin Beer Group, after that it figures out the problem and give some suggestions after merging. I believe this merging case analysis can give some meaningful inlightenments for chinese companies assets reorganization and merger.
