Perfecting the performance evaluation, entrepreneur chosen mechanism and motivation and restriction mechanism on the base of talents morality, ability and achievement set up scientific entrepreneur performance evaluation are the emphasis of the entrepreneur in the future. Facing the increasingly drastic market competition, the most important talent is the senior executive talent the most important human capital is the entrepreneur human resource .The stated-owed forestry Enterprise is an important and special stated-owed enterprise. The need to strengthen the manpower resources management taking market as direction further is much on demand .It should comply with the requirement of talent's internationalization, draw lessons from the foreign and advanced human resources management idea in order to make the entrepreneur efficiency get maximum full play.With the adjustment, reconstruction and innovation measures have taken effect, much progress have been made for the motivation and restriction mechanism of the manager of stated-owed forestry enterprise .But there also some problems exit in it, such as lacking effective motivation and restriction and unscientific evaluation of managers' performance. So setting up a scientific performance evaluation according to the character of forestry enterprise performance the motivation and restriction mechanism is the base of establishing the modern forestry enterprise mechanism .And it is also an efficient way to improve national economy development quickly.At the beginning ,the paper discusses the theory of motivation and restriction mechanism of managers and analyzes the present situation of stated-owed forestry enterprise Then aiming at the lack of motivation and restriction mechanism of state-owned forestry enterprise connected the concept the content and basic theories of the mechanism with the demand of entrust-agency theory, the theory of sustainable development ,the theory of enterpriser ,setting up an index system for a certain enterprise .Based on the principle of combining qualitative analysis ,the paper evaluates the index by AHP and fuzzy quantitative measurement with an example .At last .aiming at problems existing in our state-owed forestry enterprises, entrepreneur chosen mechanism ,contraposing rewarding mechanism, mental mechanism ,inner mechanism and outer condition respectively ,the paper advances a series of countermeasures.
