Joint venture railway came into being in the 1980s is a major breakthrough of the traditional railway's managerial system and running mechanism. There were 28 Joint venture railways up to 2004, most of them were in a poor way except Danji railway, Jitong railway, ShuoHuang railway. The research on the joint venture railway will grope for a new approach to speed up China Railway (CR as following) development and promote CR reform. Being an important member of joint venture railway, ShuoHuang Railway is one of the biggest investment scale, the highest level of technology equipment and the best economic benefit in all the being-operated Joint-venture railways. So the thesis has chosen the ShuoHuang Railway as the research target, and made a systematic study of the content and effect of structural innovation, then made use of the theoretical frame of neoinstitutional economics to analyze the motive power and route of ShuoHuang railway's structural innovation, otherwise, it proclaimed the general rule of its innovation, looking forward to provide valuable theoretical reference and experience use for the reform and development of CR.The innovation of ShuoHuang Railway mainly represents in three areas: investment and financing, construction management, and operating management.Firstly, ShuoHuang Railway broke the traditional CR investment and financing pattern, and established the incorporated enterprise as the investment and financing body, adopted diversified investment and market operation as well. The above innovation gave full play to the role of promoting CR development of the investment and financing.Secondly, ShuoHuang Railway has established the construction mode which is based on artificial person responsibility system of project, and put the "four systems " into implement strictly to ensure first-class construction quality of the project. ShuoHuang Railway has fully made use of the advantages of jointly building and mobilized the enthusiasm of all shareholders, which ensured theconstruction work progress carrying out smoothly.Thirdly, according to the development thinking "stem from State Rail, exceed State Rail", ShuoHuang Railway absorbed the railway's operational management experience from domestic and foreign countries ,combined the actual situations of itself, implemented the large-intensity of innovation evolving corporate system, enterprise schema, managerial system and operational mechanism and so on. which finally came to form the operational and managerial mode of ShuoHuang: standard running, Independent operation, Separation between infrastructure management and transport operations, Joint Transportation;Combining centralization and decentralization, Integrated guarantee.Seen from the aspect of system demand, the one of the most important factors that initiates ShuoHuang railway to make systematical innovation is the transformation of the element price rate, such as the tension of transportation capability, the shortage of coal transportation passageway, the expansion of market scale and so on. All the above factors initiate the strong demand of systematical innovation. Seen from the aspect of system supply, the several year's practice of joint venture railway and the support of the country to building coal transportation passageway reduce the cost of systematical supply and raise the expected income of systematical innovation. Finally, under the promotion of the entrepreneurs who are rich in ideal and innovative spirit, a pure new managerial mode of ShuoHuang railway have been formed.The systematical innovation of ShuoHuang railway has brought good benefits for the enterprise and society, in addition, it has promoted the transition of old system of railway and has provided successful experience for CR reform.
