Manager is the superintendent of the company, which may use the resources, has the company's domination and the policy-making power which develops to the company, their behavior decide company's destiny. But the manager, being as rational "economic man", his policy-making behavior is decided by his own objiective function, the objective function is to realize the best utility under the certain restraint condition. When the trustee gives some duty authorization to the agent (manager),the agent may do something benefit to his own utility function, but harmful to the trustee's interests. This judgment based on two suppositions: first one, the goal of the between litigant is not consistent;two, the information between the trustee and the agent is not symmetrical. So something must be done to adjust the agent behavior, suitable to the optional rule for the maximal utility of the trustee, all that is decided by the trustee' s effective control and motivation.The question of the manager motivation is the key object of the paper, from the shallow to the deep, table and inside, theory to practice logical order, the paper gives a more comprehensive analysis of the manager motivation question, at the same time, according to Chinese state-owned enterprise, the paper proposes a comprehensive pattern of the manager motivation and some correlated policies and the suggestion. Therefore, this article divides into four parts: chapter 1, proposes the significance of this article studies, then from the economic and the management aspects, concerned manager motivation question, the research carried on the summary, contain the overseas research and the domestic research about present situation, then give the outlines of the article, including the main content and the structure arrangement. Chapter 2 is the external material motivation of the manager. The text is launches from two aspects to the motivation of the manager, one is the external material aspect, two is the intrinsic spiritual aspect. Former analysis constitutes the main research content of chapter 1, latter analysis constitutes the main content of chapter 3. Among them, the external material motivation of the manager have many methods, this article mainly analyzes the salary drives, the stockholder's rights drove and the time power drove, and compared its advantages and disadvantages. The salary drives of thisarticle takes the narrow sense understandings, mainly refers to the external salary, includes the external direct salary (for example, basic salary and risk income) and the external indirect salary (for example, each kind of welfare). The intrinsic spirit drive contain five kinds in this article: the enterprise drive, the prestige and the status drive, the authority drive, promotes and dismisses from office drive, the moral and the emotion drive and so on, explain respective connotation and compares its fit and unfit quality. Chapter 4 synthesizes the external material drive and the intrinsic spiritual drive research content, taken into account the Chinese state-owned enterprise actual situation, the article proposes the comprehensive pattern of state-owned manager, and preliminarily discuss the establishment principle and the content of this pattern, as well as correlated policies and suggestion.
