With the development of Internet technology and the rapid increment of Intranet application, the electronic commerce application is becoming a hotspot. At the same time, electronic commerce has important effect on every manufacture enterprise. But in the environment of Internet-based E-commerce, digital products are easily copied and distributed illegally and the rights of copyright holder and customer are not effectively protected, which greatly disturbs the application and development of E-commercc. In addition, it is also an important project that is how to make digital products trade directly on Internet. The platform of the digital works exchanging in WAN and Internet is a research project, which with the development of the electronic commerce and the peoples' needs. It can play an important role in the many environment, and have a wide and good future. The platform is easier, safer, fairer and rapider than the other same type platform, and is more flexible and economical.This paper includes three importance parts: the platform structure, the basis knowledge of the cryptographic and the fair exchanging protocol. Through studying the basis knowledge of the cryptographic, analysing the platform structure, the platform based on digital watermarking technology and fair exchange protocol is presented in this paper. Aiming at the problem discussed above, we need to resolve that the copyright protection for digital products and fair exchange on Internet.The fair exchange protocol applied in the platform is better than the old protocol, it can request less to the network and improve the system efficiency, bring out good effects. All these researches established a good foundation for the system.
