Non-governmental financing became the focus of the public attention after the occurrence of Sun Da wu case and Wu Ying case. From this we started to think what kind of non-governmental financing is legal, and is protected by law, meanwhile, what kind of non-governmental financing is not allowed by law; the legal liability for non-governmental financing activities should be like. Due to the imperfections of the legal liability system, various types of debt disputes, plenty of criminal cases caused by non-governmental financing increased significantly, which has brought a greater negative impact on the financial stability and economic development of our country. Therefore, the study of the legal liability of non-governmental on the basis of legislative and judicial practice shows extremely important practical significance to us at present stage.As follows is my paper structure. First, starting from the definition of the acts of non-governmental financing and its legal liability system, we focused on the function and value of legal liability system of the non-governmental finance. And its value reflected in the maintenance of orderly financial environment, the protection of legitimate legal rights and interests between the persons involved and the promotion of sustainable development of economic. Followed by summary and review of non-governmental financing on the legislative status of the legal liability system, we point out the legal problems from civil liability, administrative liability, criminal liability after estimated the rationality of the current legal liability system of non-governmental financing. Finally, summing up the above points, the improvement of the legal liability system would be set as follows:the establishment of civil protection mechanism of non-governmental financing, the intensification of its administrative early-warning mechanism, the clearance of the criminal conviction.
