Since 1990s, as the economic globalization is strengthened further, the competition is fierce day by day, In order to expand the market space and seek overseas R&D resources, the multinational enterprises'(MNEs)cultivates the competition advantages on technology through R&D internationalization of investment activity, The strategic alliance is the important tool. R&D's alliances of the MNEs are R&D's internationalization of investment activity of MNEs.They are the comprehensive results of two main trends of strategic alliances also. On one hand, R&D alliance is R&D's internationalization important form of investment activity of the MNEs, On the other hand, R&D alliance is the key content of the MNEs alliance too. This paper reviews R&D's alliance of the MNEs to develop with the distribution situation in recent years at first, R&D alliance phenomena are analyzed according to the foreign direct investment theory of the MNEs and strategic alliance theory. Afterwards, the paper uses the theory of industry organize to constitute the assumption of the market on the basis of Oligopoly, through the basic model constructed by d'Aspremont & Jacquemin in case of cooperation and non-cooperation. Comparing with traditional oligarch model, some important assumptions such as R&D spillover effect, different contribution to R&D product from individual investments are revised from R&D resources, substituting products, etc. Formations mechanism and Choices of Multinational Enterprises' R&D Alliances are studied in detail. From choosing the case in terms of industry and enterprise, empirical examples confirm the relevant conclusions; suggestion on policy is given out in the end of paper.
