Up to now,China's capital utilization has been transferring from "bring-in" to "going-out",and the latter has become an important way for common development between China and the rest of the world by cooperation win-win strategy. The enterprises going global has become the major power for China shaping globalization. As a main party, the state-owned enterprises going global regarding how to manage the overseas SOEs has become a new issue under the present situation. As such, the policy and management institution is still at an unclear stage of decentralization in the perspective of practice,while a lack of consideration for the overseas concern,interaction with local communities and SOE taking part in the international development issues from the standpoint of research, which means an effective and intensive study is required as the problems lying in current situation and logic of governance. Thus, the thesis is set to study China's overseas SOEs governance by creatively introducing a constructive perspective,manifesting the overseas governance,summarizing the governance models,and spotting the governance trouble of the SOEs from bottom to top. From the organization of the thesis,the author clarified China's policy and present management institutions on Sino-Africa agricultural investment from an intermediate perspective; and then based on the individual cases, the author divides the topic into three parts, namely, overseas governance, local governance as well as the international development governance, studying the practice of governance and the process of construction of the SOE in the individual case from bottom to top, and then representing and analyzing the governance model and spotting the governance trouble; finally the author summarize the problems in the cases and raised the suggestions accordingly.The study showed that there are numerous methods in the overseas SOEs governance, say, policy governance, headquarter-branch organizational governance, overseas "danwei" governance, unofficianl organizational governance, "guanxi" cultural governance,etc., meanwhile in the case of the thesis,the SOE even participated in the international development governance creatively by taking the corporate social responsibility and joining the development aid program. While analyzing the construction process from top to bottom,the author found the problems existing in China's overseas SOEs governance,i.e.the fragmentation of policy and management system, lacking in the effective integration; uclear direction of China's naitonal capital to go out, represented by an unreasonable preference in big scale investments; the involution in the organization of overseas SOEs; insufficient construction in diversified value system which increases the risks in the loss of human capitals, as well as the contradictions in the system; cultural difference in governance has been generalized, lacking in clear understanding and response to the governing mechanism when facing cultural difference; policy discourse is divorced from the direction of international development discoures, and policy innovation is apart from the international development practice innovation. Thus the author raised the following suggestions and response accordingly as follows: integrate policy with management system, strengthen the existent joint conference mechanism construction, embrace the governance with multi-subjects; undertake a reform on the evaluation system on SOE management with a lopsided emphasis on "big scale",improve the construction of the evaluation system focused on practice; decrease the hierarchy from the exterior governance to interior management, build a flat governance organization; build the diversified and inclusive corporate value, create a sense of identity for individuals to the corporation; have a right understanding on cultural difference and stress its management; encourage the enterprises to joint the international development practices, improve the policy support on innovation practices.In summary, the thesis described and analyzed the overseas governance of an SOE in the individual case from the constructive perspective, summarized the governance methods and detect the existent problems by opening the black box of overseas SOEs governance. The author raised some of the suggestions, and hopefully they can better improve the overseas SOEs present situation, governance issues, and mutaul understanding between foreign investment host states and China.
