The Research On Completing Corporate Governance Structure Of Public Hospital

Under the current health system, public hospitals，as the main part of the healthsector, provide basic medical service, scientific research, health education, andimportant social functions and responsibilities. But since the late20th century, as aresult of the unreasonable system and mechanism, the problems of medical qualityand safety management are gradually highlighting. Meanwhile, When the medicalservices and medical ethics are in urgent need of improvement，the doctor-patientconflicts also need to resolve. Clearly, it is difficult to solve these problems onlydepending on executive power. The way to regulate behavior, improve quality of care,ensure the long-term development is strengthening their supervision and discipline.Recently, the government has introduced policies to support the reform with callingfor the reform of Corporate Governance Structure of Public Hospital (CGSPH). InMarch2011, the State Council emphasizes the public welfare institutions to establisha corporate governance structure in the file of the guidance to promote the reform ofinstitutions distinctively. In the same year, the files of opinions of establishingCorporate Governance Structure of Institutions (CGSI) and the guidance on the pilotreform of public hospitals, which are issued by the State Council and the Ministryof Health and other four departments， require to establish various forms ofCGSPH with the council as its core. Shanghai, Zhejiang and other cities havelaunched a pilot reform under the background of reform. So far, however, whether in theory or practice has failed to establish a general model. There are still manytheoretical issues unresolved, such as the rationality of the corporate governancestructure, and the management mode of corporate governance structure, etc.Based on the fundamental characteristics of public hospitals and the problemsencountered in the pilot reform, this paper analyze the CGSPH as follows: Firstly, Thethesis starts with the basic theory of legal person. Then, it analyzes the basiccharacteristic of the public hospitals in our country, demonstrates its legal attribute,and builds the theoretical basis of the reform of corporate governance structure, thus,the category can be positioned. Then, the feasibility and necessity of CGSPH areanalyzed based on two aspects: theoretical and practical basis, which lay thefoundation of studying the state-owned assets operation mode in the reform ofCGSPH and find the optimal mode. Finally, it establishes the system of CGSPH anddiscussed the system of board of directors in CGSPH.
