Objectives:It is a key issues need to be addressed urgently for China's medical and health reform that is how to achieve social benefits and ensure operating efficiency of public hospitals at the same time.since 20th century, public hospitals governance have become an increasing concern and gradually became involved in the study of the theory of hot spots. Unfortunately, however, the current research is focused on one aspect of the governance very little on systematic analysis of literature in public hospitals and the corporate governance model of the path of governance change.This article holds that, because of the differences on the nature, characteristics and purpose between hospitals and enterprises, the corporate governance of public hospitals can not simply copy the model of corporate governance theories and methods, and not all public hospitals have the conditions for corporate governance. Therefore, it is a major theoretical issues how to build the corporate governance models of public hospitals and analysis the governance changes path. It is also the logical starting point for this study.Methods:(1) situation analysis and information to determine :use the literature search and data query to collect the relevant theory of corporate governance research and practice;(2) the Empirical Study :In this study, theoretical analysis and empirical studies combining typical site survey and field study of a combination of qualitative research methods. According to the purpose of this study ,the paper select Shanghai, Shandong (Qingdao, Weifang, Heze), Guangdong (Guangzhou, Shenzhen, Zhuhai), Fujian (Fuzhou), Jiangsu (Suzhou, Wuxi, Suqian and Taizhou), Hubei (Wuhan, Xiangfan, Huangshi) for a typical survey. The key findings include:survey of district health administration departments, other hospital management agencies, state-owned Assets Supervision and so on. Typical methods of investigation include the following: a typical site survey, semi-structured depth interviews, focus group discussions. (3) statistical analysis by use of SPSS 13.0 statistical software stochastic and efficiency analysis by use of the frontier cost model .(4) The theoretical analysis method : the use of multi-disciplinary research methods such as principal-agent theory, "the ice model", stakeholder theory, dissipative structure theory, theories of institutional change.Results and Conclusions:(1) Although the administrative agencies under a single hospital-based model is one of corporate governance in this article, but in the real sense, this model does not implement the hospital's legal rights and obligations related and is difficult to solve the problem of public hospitals deep-rooted problems. So it is not recommended this model as the direction of the future corporate governance for public hospitals .(2) The decentralized administrative model can promote open ,break the balance of public hospitals and strengthen the supervision of health industry. However, the administrative body of China's decentralized model of change has remained at an isolated level, it is recommended that adopt this model in a region with better pilot.(3) the Council Corporate Governance model can further address the type of principal-agent manager in the problem of adverse selection, and is more conducive to the formation of dissipative structures of public hospitals, this model depends largely on the implementation of the effect of the operation and management of the Hospital.(4) Board of Directors corporate governance-based model can solve the problem of lack of investors and laid a foundation of dissipative structures foe public hospitals, but there is a big difference between the current board of directors in our results-based corporate governance. Therefore, the model is suitable for the areas where have a strong regulatory capacity and social medical insurance system .(5) The paper analyses the efficiency of public hospitals of different governance models by use of stochastic frontier. It is shows that the Council-based model of corporate governance in public hospitals and administrative decentralized corporate governance of public hospitals model is in line with the reality of our situation at this stage to choose from low-efficiency point of view.(6) The design for the future public hospitals stakeholder governance model of interaction can be: first, to identify elements of the governance of public hospitals, specifically the interests of stakeholders aspirations; Secondly, the identification of elements of the governance of the governance status; again, under the management of the status of to build interactive governance mechanisms; Finally, according to concerted feedback between elements in order to achieve the purpose of hospital governance.(7) There may be three path-dependent factors in governance changes of public hospitals as following: the traditional system of society caused by a collection of path-dependent, the cultural paradigm for many years led to the formation of the path-dependent; and the chosen method of gradual reform of the formation of a path-dependentInnovation:(1) compared with the previous research, the paper have some innovation in the methodology. The study is not only the use of multi-disciplinary research methods on the analysis of the existence four corporate governance model, but also conduct a horizontal comparison on four corporate governance model for hospital efficiency by use of econometric methods and quantitative analysis(2) In this paper, the first time, mature non-linear dynamics theory and contemporary health management studies the combination of health management to broaden the scope of the study and research ideas, but also provides a new analytical tool.(3) through reviewing the path of change of corporate governance ,this paper put forward innovative design for the future of public hospitals stakeholder governance model of interaction in China by in-depth analysis of China's public hospital stakeholders.(4) Compared predecessors study ,there is some breakthrough on the idea of perspective in the study .In this paper, the paper sort out the context changes and summed up the factors affect the change way of public hospitals corporate governance and make relevant policy recommendations on the basis of institutional economics.Inadequacies:(1) This paper give the theory of dissipative structure into the China's corporate governance of public hospitals, the study model is a more innovative methods, that is why there are not perfect.(2) Generally speaking, systems analysis are also in the nature of an "understanding" of analytical tools, and is still a little awkward to use. Therefore, to explore a more appropriate study of institutional change is the path of follow-up study of the content needs to be further strengthened.
