Under the background that global health expenses increasing rapidly, the service system in public hospital have many problems: low efficiency, patients dissatisfaction, brain drain, ignore the poor, waste of resource, medical fraud and corruption etc.. These problems have already attached attention of many countries. Health sector reform is not only becoming the focus of social reforms in China, but also is one of the most difficult and complicated fields.The subject used many research methods, such as combination of autoptical and survey data, the combination of comparative research and empirical studies. Recalling history and status of the reform of public and nonprofit hospital. After comparative study on theory and model of international typical corporate governance, we analyzed corporate governance reform, point out that the current corporate governance reform in public and nonprofit hospital exists problems as following: persons absent from their duties in hospital, the Board's right and obligation is ambiguous and confused, the management practices in hospital beyond control and supervision, lack of effective corporate governance, motivation mechanisms is not perfect.By expounding "content on corporate governance" and "the theory of corporate governance", applying theories of modem hospital management and system economics on the modern enterprise system. We also put forward the channels to improve and perfect the corporate governance of public and nonprofit hospital, that is the pluralism of equity structure, perfect and strengthen motivation and evaluation mechanisms in legislation, perfect motivation mechanisms.And, we make suggestions that during the practice of corporate governance in public and nonprofit hospital, we must pay attention to its "nonprofit" purposes, the establishment of an independent entity, strengthening self-discipline, adjusting the roles and function of government.Also, we put forward many feasible countermeasures and suggestions. For example: strengthening the regulatory and supervisory to the public and nonprofit hospital, the implementation of competition and motivation mechanism, promote equity reorganization, put management of medical institute by classification within hospitals into practice, improve the effective of public and nonprofit hospital,...
