Abstract/Summary:
Rural commercial bank is the commercial bank with the most broad coverage,the largest number and the largest number of people served in our country.It is an effective force serving "agriculture and countryside" and supporting micro and small enterprises.Since 2013,the former banking regulatory commission issued "Guide to Commercial Bank Corporate Governance",the framework of our country’s rural commercial bank corporate governance begins to change from "surface" to "essence".In 2021,China’s banking and insurance Regulatory authority issued the Notice of China Banking and Insurance Regulatory Commission on Printing and Distributing Corporate Governance Standards for Banking and Insurance Institutions,further clarifying that commercial banks should achieve the prescribed standards of good banking through corporate governance.The main research work of this paper is as follows: Firstly,the research background,significance and purpose of this paper are described briefly,and the research status and relevant theoretical research at home and abroad are sorted out and reviewed.Taking the corporate governance of Z City rural commercial bank as an example,the paper points out the shortcomings of its corporate governance by summarizing and analyzing the rights and responsibilities and rules of procedure of the board of directors and shareholders’ meeting of Z City Rural Commercial Bank:Problems such as inadequate play of the power of shareholders’ meeting,definition of responsibilities of "three meetings and one layer",internal supervision,failure of incentive and restraint mechanism,etc.By exploring the stakeholder theory and the principal-agent theory,this paper analyzes the conflicts of interest among the stakeholders of commercial banks,such as the government,shareholders,employees and customers,and finds out the contradictions among them,and puts forward corresponding countermeasures and suggestions in the aspects of strengthening shareholders’ equity management,optimizing the structure of the board of directors,clarifying the responsibilities of the board of supervisors and focusing on information disclosure.
