| As an important part of China’s entire financial system,rural commercial banks are also the main force serving rural economic and social development.They are also the banking financial institutions with the largest number of legal entities,the widest distribution of branches,the most dispersed customer groups and the most difficult service environment in the banking system.In the current environment of large bank sinking,interest rate marketization,product homogenization and fierce competition,Rural Commercial Bank can be said to survive in the cracks.On August 2,2011,the former China Banking Regulatory Commission required that it would take about 5 years to fully absorb the historical losses of rural credit cooperatives and complete the joint-stock transformation of rural credit cooperatives.Since then,China Rural Credit Cooperatives has accelerated the transformation and development of the enterprise,established an effective shareholder relationship,further improved the corporate governance structure,and made significant progress in "banking".According to the list of legal persons of banking financial institutions published on the official website of China Banking and Insurance Regulatory Commission,as of the end of December 2022,there were 4,599 legal persons of banking financial institutions in China,among which there were 1,600 rural commercial banks,accounting for 34.79%.This paper reviews the development history of rural commercial Bank reform,and expounds three main management modes of rural commercial bank at present,namely,provincial unified legal person,city(county)level independent legal person,provincial association + county(city)rural commercial bank.Taking N Rural Commercial Bank as an example,based on the theory of corporate property rights,principal-agent theory and stakeholder theory,this paper calculates the efficiency of its corporate governance and analyzes the problems existing in its shareholders’ meeting,board of directors,board of supervisors,senior management and information disclosure mode.This paper holds that there are some problems in corporate governance,such as formalization,lack of ownership governance due to excessive decentralization of ownership structure,ineffective play of board of directors’ decision-making,mere formality of board of supervisors’ supervision,insufficient incentive mechanism of senior management and inadequate information disclosure.According to the above theories,the paper puts forward the paths and methods to improve corporate governance,namely,to clarify corporate governance objectives and avoid the formalization of corporate governance.Strengthen shareholders’ incentives and constraints on senior executives;Introduce strategic investors in time and optimize corporate governance structure;Strengthen the construction of the board of directors,fully implement the functions of the board of directors;Improve the information disclosure mechanism. |
