In recent years,a series of property market regulation policies and the Ministry of Education issued new rules,not only reduce the market investment heat,but also reduce the investment value of "school district housing".At the same time,most real estate enterprises are not familiar with the education business,the continuous operation will inevitably distract too much energy of enterprises,while affecting the development of their main business,part of the real estate enterprises also fall into business crisis.Therefore,from the perspective of enterprise development,it is imperative to divest educational assets.This paper takes F real estate enterprise as a case study and adopts literature research method,case analysis method and quantitative analysis method.With "refocusing strategy" theory,resource-based theory,the optimal sequence financing theory,synergy theory and other related theory,discusses the education F real estate enterprise asset stripping agent,on the asset sales,corporate division and equity from the three cutting stripping way,on the basis of comparative analysis,choice of enterprise asset stripping way F for analysis.F for non-listed companies,enterprise with its share price is difficult to determine,is cut from the enterprise does not apply to F,therefore,this paper focuses on asset sales and enterprise division of the two plans are compared,and different from the quality of the target assets,plan and implement the tax-related cases cycle length of two schemes are analyzed.Finally,combined with the potential risks that may exist in the implementation of the program,specific measures are put forward to promote the smooth implementation of the program.According to the research,from the perspective of tax cost alone,enterprise separation has more advantages than asset sale.However,the target assets are not in line with the company’s development strategy,and its financial condition is not ideal,which drags on the overall development of the enterprise.The enterprise needs to completely get rid of these low-quality assets,so it can be seen that asset sale has more advantages.On the other hand,from the perspective of the implementation cycle of the plan,asset sale can obtain sufficient funds faster than enterprise separation,which is convenient for enterprises to create new economic growth points and complete strategic transformation quickly.Overall consideration,this paper believes that it is more reasonable to choose asset sale to peel off educational assets.In this paper,when choosing the stripping scheme,a variety of factors are considered comprehensively to make the consideration more systematic and comprehensive,and the selection scheme has strong reliability.At the same time,the research of this paper also provides some guidance for other real estate enterprises to choose and implement the asset divestiture plan.
