In the development process of the Internet industry,cross-border e-commerce platforms emerge at the historic moment,allowing consumers to buy goods from all over the world without leaving home,which expands the choice of goods and improves the quality of life of consumers.At the same time,in order to enhance their comprehensive strength and status in the industry,the momentum of mergers and acquisitions among Internet enterprises is also gradually emerging.However,compared with traditional enterprises,Internet enterprises have certain particularities,and their M&A motivations and synergistic effects after M&A are also different from those of traditional enterprises.Therefore,Internet enterprises should combine the characteristics of the industry and enterprises themselves,comprehensively analyze their merger and acquisition motivations,deeply study the synergistic effect of merger and acquisition,put forward corresponding optimization suggestions for the problems in M&A activities to promote the smooth progress of M&A integration activities.,and provide certain reference for the subsequent merger and acquisition activities of related enterprises.Under the background of the increasing number of Internet enterprises and the expanding scale of industry development,the merger and acquisition activities of Internet enterprises are on the rise.Therefore,this paper studies the case of Internet enterprise Alibaba’s merger and acquisition of cross-border e-commerce platform Kaola in 2019.Paper first elaborated the research background and significance,literature review,research content and methods,and puts forward the innovation points.Next,this paper introduces the background and current situation of the M&A of Internet enterprises,extracts and summarizes the characteristics of Internet enterprises,and then sorts out the basic situation and M&A integration process of Alibaba and Kaola,and analyzes their M&A motivations.By listing the financial indicators,market research and other real data results in the past five years,this paper analyzes the financial synergy effect,operation synergy effect and management synergy effect generated by Alibaba’s acquisition of Kaola.After the data analysis,corresponding optimization suggestions are put forward in view of the problems arising from the M&A activity,so as to promote the high-quality integration of enterprises and promote the subsequent operation and development of the Internet industry.Through the research,the paper draws the following conclusions: first and foremost,the motivations of Alibaba’s merger and acquisition of Kaola are as follows: improving the economic benefits of the enterprise,expanding the market share of the enterprise and improving the management level of the enterprise;Secondly,the synergy effect of this merger and acquisition activity is relatively significant,which not only has a certain positive impact on the financial synergy effect and operation synergy effect,but also is reflected in the management synergy effect,promoting the sustainable development of the enterprise.In addition,in view of the problems,this paper puts forward optimization suggestions such as strengthening phased management,forward-looking planning and scientific deployment,so as to enhance the positive synergistic effect of enterprises,optimize the strategy of enterprise merger and acquisition integration,improve the resource sharing mechanism,and ensure the healthy operation of enterprises.The innovation of this paper is mainly reflected in two aspects: first,the research case is novel.The cross-border e-commerce platform analyzed and studied in this paper belongs to an emerging industry,which is currently in a period of rapid development.Second,the research perspective is innovative.Previous studies mostly analyzed the synergy effect after M&A from a single perspective,while this paper starts with the actual data generated by Alibaba’s merger and acquisition of Kaola,comprehensively studies the financial synergy effect,operation synergy effect and management synergy effect of this M&A activity,and analyzes the overall effect of M&A activity.
