Compared with the traditional salary structure,equity incentive mechanism can conditionally grant employees part of the shareholder’s rights and interests,so that they can have a sense of ownership,so as to form a community of interests with the company and promote the common growth of the enterprise and employees.With the introduction and improvement of mid-and long-term incentive and guidance policies,equity incentive,as a modern management means,has taken root steadily in the governance system of state-owned enterprises and become increasingly normalized,becoming an important mechanism for the mixed ownership reform of state-owned enterprises.However,in the practical application process,a large number of enterprises cancel equity incentive every year because of unreasonable scheme design,and a large number of equity incentive cases are accompanied by managers’ earnings management behavior,which does not actually improve corporate performance.Therefore,how to better design equity incentive scheme to avoid managers’ self-interested behavior and ensure the incentive effect has become an urgent problem to be solved in the current enterprise management.As A model enterprise in the mixed ownership reform of state-owned enterprises,Enterprise A is in A cyclical industry and faces competition from industry incentives.In order to improve corporate performance,enterprise A has implemented two equity incentive plans.Based on A enterprise as A case,this paper first analyzes the background of two times before the implementation of equity incentive plan and implementation,from financial performance,such as human resources performance and earnings management Angle analysis the performance of the company before and after the implementation of equity incentive plan,analysis summarized the previous two problems existing in the equity incentive plan design,On this basis,the author puts forward the conception of the third equity incentive plan of enterprise A,and formulates contract elements from the aspects of incentive mode,validity period,share,incentive object,assessment index,grant price and exit mechanism.In this paper,the evaluation and optimization of the equity incentive scheme of enterprise A aims to explore the impact of equity incentive on improving the performance of state-owned enterprises,and how to set up reasonable contract elements for such state-owned enterprises,hoping to provide reference for other state-owned enterprises.
