With the rapid development of global economic integration,cross-border mergers and acquisitions have become a key strategy for companies to expand their global business scope and maintain competitiveness in the ever-changing international business environment.Chinese companies have accelerated their pace of cross-border mergers and acquisitions in order to occupy a place in the global economy,improve production efficiency,and expand industrial scale.Today,Chinese enterprises have become active players in global cross-border mergers and acquisitions.The rapid development of overseas mergers and acquisitions by companies has become a key factor in measuring the success of multinational corporations.Due to the involvement of national consciousness and differences in corporate culture,cultural conflict is a common problem in cross-border mergers and acquisitions.This conflict not only increases the difficulty of cultural integration,but also has an impact on the production and operation activities of enterprises.to cope with these issues,it is necessary to strengthen cross-cultural communication and understanding to ensure the successful implementation of overseas mergers and acquisitions.When Chinese enterprises engage in cross-border mergers and acquisitions,there are differences in language context,historical culture,management methods,and business strategies between the two parties.This means that the interaction of different cultural concepts will inevitably cause new problems,and cultural differences have become an important challenge in cross-border mergers and acquisitions.Therefore,It is essential to conduct an analysis and research the factors of the countries,organizations,and societies of the acquiring and acquired parties in order to better solve these cultural differences issues.In this context,this paper focuses on the research of cultural conflict risk management and countermeasures in the cross-border mergers and acquisitions of Chongqing Tianci Hot Spring Group,using methods such as Delphi and analytic hierarchy process.Firstly,the reasons for Chinese companies to engage in cross-border acquisitions are analyzed from economic,cultural,and historical perspectives,while emphasizing the complementary value of cultural conflict in cross-border mergers and acquisitions to existing theories.Secondly,this article studies the issue of cultural conflict in Chinese companies’ cross-border mergers and acquisitions,and provides an overview of the expression of cultural conflict risk,the division of risk factors,the choice of cultural integration models,and the suggestions for institutional countermeasures.Furthermore,based on the cultural conflict risk generated in the cross-border merger and acquisition of Chongqing Tianci Hot Spring Group,the paper conducts case studies and analyses,proposes innovative optimization schemes to address the shortcomings,and provides a referential cultural integration model for domestic companies of the same type to conduct mergers and acquisitions of European companies.This enriches the typical case analysis of Chinese companies successfully acquiring European companies and has a certain promotion effect on the research of cultural conflict risk management and countermeasures for Chinese companies. |
