In the new economic environment,financial institutions have both opportunities and challenges,and the level of governance of commercial banks will determine whether their development can be stable and far-reaching.As an important part of the corporate governance structure and internal supervision and restraint mechanism,the supervisory board plays a supervisory role that is conducive to revealing operational risks in a timely manner,restraining the board of directors and senior management from violating laws and regulations,and safeguarding the legitimate rights and interests of stakeholders,which is important for commercial banks to improve their corporate governance,standardize their operation and management,and achieve high-quality development.This thesis focuses on the current situation of the governance of the supervisory board of Bank A.Based on the theories related to the governance of the supervisory board,this thesis analyzes the outstanding problems of the supervisory board based on literature research and survey research,and then proposes targeted improvement measures and guarantee solutions.Firstly,this thesis introduces the background of the topic and the significance of the study,reviews the literature on the effectiveness of the supervisory board governance,the evaluation system of the supervisory board governance,and the factors affecting the supervisory board governance,and analyzes the specific research contents,research methods and technical lines.Next,the theoretical foundations of principal-agent theory,stakeholder theory,and the theory of separation of powers and checks and balances are explained,the governance objectives of the supervisory board are clarified,and relevant laws and regulations and regulatory systems are sorted out.Then,we introduced the basic situation and organizational structure of Bank A.We focused on the current situation of corporate governance and the governance of the supervisory board of Bank A.By designing four sets of interview outlines for different subjects and interviewing 34 subjects,we summarized the problems of Bank A in four aspects of professionalism,independence,authority and enthusiasm: the supervisory board is relatively understaffed,the professional ability of supervisors cannot cover the supervisory content,the employees Supervisors lack independence in performing their duties,lack of independence in approving and using the budget of the Supervisory Board,poor feedback on rectification and implementation of supervisory issues,lack of accountability of the Supervisory Board for supervisory issues,low actual participation in the daily supervisory work of the Supervisory Board,and weak supervisory effect of the Supervisory Board.Then,we analyzed the specific causes of the supervisory board governance problems: lack of planning and standardization in the formation of the supervisory board,lack of guarantee for the independence of the supervisory board governance,lack of establishment of the accountability mechanism of the supervisory board,and imperfect incentive and restraint mechanism of the supervisory board.Finally,in view of the problems and causes of the governance of the supervisory board of Dalian A Bank,eight specific improvement measures are proposed: establishing criteria for the appointment of supervisors,formulating the selection and recruitment process of supervisors,guaranteeing the supervisory rights of staff supervisors,ensuring the independent use of funds,strengthening the supervision and supervision of problem rectification,strengthening the joint supervision and accountability,improving the construction of the assessment and evaluation system,and establishing the incentive and restraint mechanism;at the same time,eight specific improvement measures are proposed: promoting the integration of the Party organization and corporate governance,establishing At the same time,four guarantee programs are proposed,such as promoting the integration of the Party organization and corporate governance,establishing a long-term mechanism for supervisory personnel training,improving and perfecting the internal supervision system,and continuously expanding the depth of risk and internal control supervision.It is expected that the above improvement measures and guarantee programs can help Bank A explore and build a set of governance mechanism for the Supervisory Board that suits its actual situation under the current severe internal and external environment,improve the governance level of the Supervisory Board,promote Bank A to improve the supervision and check mechanism,improve the overall level of corporate governance,and promote standardized and stable development.
