Semiconductor is a necessity for any country’s politics and economy.Therefore,in order to ensure the national political security and economic development,China must have a certain voice in the semiconductor industry.In recent years,China is also advocating semiconductor-related enterprises to actively promote new technologies in all aspects of production and operation,strive to develop existing technologies,catch up with the international scientific and technological level,and realize the vigorous development of China’s semiconductor industry.Although China is currently in the golden age of IC development,the impact of COVID-19 epidemic has led to a weak overall international economic situation,and the development of China’s semiconductor-related enterprises has also been greatly impacted,and the market competition is also intensifying.At this time,it is difficult to achieve rapid technological upgrading by relying solely on the internal development investment of enterprises,and it cannot help enterprises to occupy absolute market share and improve their competitiveness in a short time.Therefore,for most enterprises,M&A is usually the first choice strategy to adapt to the changes in the current market environment,and quickly achieve industrial upgrading,technological upgrading and market share expansion.Under the above background,this paper adopts the case study method,takes "PNC Process Systems Co.,Ltd." as the research object,collates the relevant information about M&A motivation,M&A performance and performance evaluation methods in the current academic circles,and then combines it with the actual situation and purpose of PNC Process Systems Co.,Ltd.’s M&A of Shanghai Bandweaver Technologies Co.,Ltd.,based on the main motivation of PNC Process Systems Co.,Ltd.’s M&A of Shanghai Bandweaver Technologies Co.,Ltd.: "Improving the product competitiveness and market space of enterprises,At the same time,it is helpful to enter the downstream optical sensor and optoelectronic components field,and further improve the sustainable profitability." Based on the relevant theories and concepts,this paper uses the performance prism model to select the main stakeholders according to its main purpose of M&A,further selects the relevant indicators of the five dimensions under the prism model,and then uses entropy method to evaluate the performance before and after the M&A of PNC Process Systems Co.,Ltd.Secondly,by using economic added value,this paper studies the expansion of M&A effect from the value creation of this M&A activity of PNC Process Systems Co.,Ltd.,and finally realizes the multi-angle analysis of M&A performance of PNC Process Systems Co.,Ltd.It is concluded that(1)Under the performance prism model,this M&A activity of PNC Process Systems Co.,Ltd.has achieved the positive improvement of the comprehensive performance evaluation of the enterprise itself,and the M&A goal has been initially achieved.And(2)the conclusion that this M&A activity failed to achieve the objective market conditions and the promotion of PNC Process Systems Co.,Ltd value creation ability was drawn through the comparative expansion study of horizontal value creation ability.On the basis of the conclusions of this study,this paper puts forward some suggestions on PNC Process Systems Co.,Ltd from the aspects of product business,enterprise management,market development and value creation,and finally provides some inspiration and reference for similar enterprises in China to carry out such mergers and acquisitions in the future.
