Research On The Shareholder Removal System Of Limited Liability Companies In My Countr

Limited liability company shareholder demerit system is one of the main means to resolve the contradictions between the internal shareholders,and it plays a very important role in the socialist market economy.Limited liability companies not only have the characteristics of asset compatibility,but also rely on mutual trust between shareholders.Therefore,the development of limited liability companies is deeply affected by the characteristics of human compatibility.When the internal shareholder conflicts affect the company’s survival and the interests of other shareholders,the company needs to adopt the shareholder removal system to break the deadlock of the company and maintain the company’s survival.However,the demerit system is only involved in the third judicial interpretation of Company law in 2011,and has not been included in the formal legal provisions.The development of practice and the hysteresis of law require that the demerit system should be improved accordingly.This paper expounds the theory of shareholder expulsion and combines some cases in practice to carry on a more in-depth study on the system of shareholder expulsion from four directions.First of all,the author demonstrates the rationality and superiority of the shareholder expulsion system from the relevant basic theory.Secondly,the current situation and existing problems of the system are revealed by introducing relevant cases in the past ten years.Then,it analyzes the development of the system of expelling foreign shareholders and draws on its excellent experience.Finally,the author proposes the improvement measures to the defects of our shareholder expulsion system.The author hopes to make a contribution to the development of the demerit system through the study of this paper.
