| With the rapid development of economic globalization,enterprises are facing greater competitive pressure,and more companies are adopting diversified development strategies.Investment and mergers and acquisitions,as the best way for companies to quickly expand their scale and gather advantageous resources in the short term,are very advantageous for enterprises to achieve high-quality strategic goals.However,it is easy to implement mergers and acquisitions,but it is difficult to integrate after mergers and acquisitions.The key to determining the success of a company’s merger and acquisition behavior is whether the integration measures after mergers and acquisitions can be effective,whether the advantageous resources of both parties can be integrated,forming a "1+1>2" effect,and promoting further development of the enterprise.This article takes H Company’s merger and acquisition of L Company as the research object.Firstly,it uses literature analysis to comprehensively elaborate on the research situation of domestic and foreign mergers and acquisitions and integration,summarizes its characteristics,clarifies the research progress and shortcomings,and summarizes the possible theories of enterprise acquisition and integration that may be applied,laying the theoretical foundation for this article;Secondly,a combination of quantitative and qualitative analysis was used to comprehensively analyze the background,motives,current status,and effectiveness of the merger and acquisition.Through interviews,it was summarized and extracted that H Company had problems such as low efficiency in further integration work,unclear strategic integration direction,incomplete asset integration,prominent human resource integration issues,and obvious conflicts in cultural integration,And it is analyzed that the main reasons for the above problems are the lack of clear integration goals,the lack of integration to form a clear and unified development strategy,incomplete asset integration,incomplete comprehensive budget management system,insufficient attention to human resource integration,and the lack of systematic and effective implementation plans for cultural integration.Through the above analysis and research,combined with the strategic objectives of H Company’s mergers and acquisitions,strategic suggestions for H Company to address integration issues are proposed,mainly including re establishing integration goals and principles,scientifically formulating unified strategic plans,adjusting organizational structure,deepening personnel integration measures,strengthening asset management,creating an internal environment for comprehensive budget management,and reshaping the path of corporate culture integration,And analyzed the possible obstacles that may face during the implementation of optimization strategies,and proposed specific implementation guarantee measures to ensure the smooth implementation of this merger and acquisition,providing scientific and practical merger and acquisition integration suggestions and strategies for H Company to achieve leapfrog development,and providing practical reference for other enterprises to address similar issues. |
